## Goal Determine which commercial dealings or rights are exclusive. ## Detection cues Locate exclusive rights, sole supplier and exclusivity arrangement wording. ## Review steps 1. Identify parties, products, channels and territory. 2. Record duration, minimum commitments and performance conditions. 3. Check exceptions and exit rights for underperformance. ## Risk signals Flag broad exclusivity without performance conditions or an effective exit. ## Required evidence Quote the exclusive grant or restriction with its commercial boundaries. ## Recommendation rules Recommend measurable conditions or narrower scope when the source exposes an imbalance. ## Failure and uncertainty Do not equate a non-compete with exclusive supply; an undefined product scope requires an uncertain finding.
