Terms of Service

Version 0.1 · last updated 2026-10-26

Draft for legal review. Not in force. Clauses marked [LAWYER: ...] or [RAHIL: ...] are open.

1. Who we are and what these terms cover

Agent Mart is a public catalog of AI agent building blocks: MCP servers, skills, plugins, agents, harnesses, models and related tools. It is run by Chalk Labs ("we", "us"). [RAHIL: legal entity name, type of entity, registered address and company number.]

These terms cover every part of the service:

  • the website at https://agentmart.dev
  • the public API and its keys
  • the directory MCP server at https://agentmart.dev/mcp
  • the agentmarket command line tool (the CLI)
  • the newsletter, feeds and badges

Separate documents also apply:

  • The Privacy Policy (/legal/privacy) explains what personal data we collect and why.
  • The Acceptable Use Policy (/legal/acceptable-use) lists what you may not do. It is part of these terms.
  • The Publisher Agreement (/legal/publisher-agreement) applies when you claim a listing or submit content as its publisher.
  • The API and MCP server terms (/developers#terms) apply when you use the API or the MCP server.
  • The Takedown Policy (/legal/takedown) and Security Policy (/legal/security-policy) explain how to report problems.

If these terms and a more specific document conflict, the more specific document wins for its subject. [LAWYER: confirm this order of precedence.]

By using the service you agree to these terms. If you use it for an organization, you agree for that organization and confirm you may do so. [LAWYER: is browse-wrap acceptance enough for anonymous visitors, or should acceptance be limited to account holders and API key holders, with visitors covered by a lighter notice?]

2. What the service is

Agent Mart lists tools that other people build. For each listing we show facts collected from public sources, such as the MCP Registry, GitHub, npm and PyPI. These facts include the description, the publisher, the license and install commands. We also show our own automated assessments: freshness grades now, security grades later.

We do not build, sell, host or run the listed tools, unless a listing says we publish it. When you install a listed tool, you get it from its publisher under the publisher's own license and terms, not from us. [LAWYER: confirm the wording that keeps us out of the supply chain for listed items.]

The service is free today. Paid features, such as sponsored placements and Vendor Pro, may come later under separate terms (see section 13).

3. Accounts

You can browse without an account. To review, claim a listing, build stacks or create API keys, you sign in with GitHub or an email link.

  • Give accurate information and keep your sign-in method secure. You are responsible for what happens under your account and your API keys.
  • One person per account. Do not share an account, or create accounts to get around limits or bans.
  • You must be at least [LAWYER: 18, or 16 with a parental consent route; India's DPDP Act treats under-18s as children, which needs verifiable parental consent] to create an account.
  • You can stop using the service at any time. To delete your account, follow the Privacy Policy, section on how to make a request. [RAHIL: self-service deletion does not exist yet.]

4. Acceptable use

Follow the Acceptable Use Policy. In short:

  • no malware
  • no impersonation
  • no fake reviews
  • no scraping beyond the API terms
  • no attempts to manipulate rank or grades
  • no abuse of the API or forms

5. Your content

"Your content" means anything you submit to us, including:

  • reviews and replies
  • stacks
  • submissions and corrections
  • reports
  • profile details

You keep ownership of your content. You give us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (for example, format or translate), publish and display your content. The license covers running, improving and promoting the service, including in the API, the MCP server, feeds and the newsletter. [LAWYER: scope, duration and whether the license survives account deletion for published reviews and public stacks; see the Privacy Policy on de-identified reviews.]

You confirm that you have the right to submit your content, and that it is accurate to the best of your knowledge. You also confirm that it does not break the law or anyone else's rights.

Reviews must describe your own real experience with the listed tool. We moderate reviews with automated checks, an AI classifier and, when needed, a person. We may publish, hold, reject or remove any review under the published review guidelines.

We may remove or refuse any content that breaks these terms or the law. Moderation marks content as removed rather than deleting it, so we can explain decisions and handle appeals.

6. Listings and our data

Listings are facts with links to their sources. Facts are not owned by anyone. Text, logos and other material that publishers create stay theirs. We show short descriptions, names and logos to identify each tool, and link to the source. [LAWYER: confirm reliance on fair use (US), fair dealing or the Indian Copyright Act section 52 exceptions for descriptions and logos, and the trademark nominative-use position.]

Publisher-provided content, meaning text or images a publisher submits or edits after claiming a listing, is licensed to us under the Publisher Agreement.

Our own work belongs to Chalk Labs. This includes the selection and arrangement of the catalog, grades, scores, rankings, summaries we write, the website's design and code, and the "Agent Mart" name and logo. [LAWYER: database right in the EU and UK, and copyright in a compilation in the US and India.]

You may link to any page and quote small parts with a link back. Bulk copying or republishing the catalog needs a license; see the API terms.

7. Grades, rankings and reviews are not guarantees

Freshness and security grades are automated assessments. A computer program produces them from public signals and scans at a point in time. They are not:

  • security audits
  • certifications
  • endorsements
  • warranties that a tool is safe, works, or is fit for your purpose

A good grade can miss a problem; a poor grade can be a false positive. Review install commands and permissions before you run anything, and use your own judgment.

Rankings combine signals we describe on the trust page (/trust). Reviews are opinions of their authors, not ours.

Money never changes organic rank or grades. No payment, sponsorship, affiliate deal or partnership changes how a listing ranks in organic results or what grade it gets. Paid placements, when they exist, are labeled "Sponsored" and kept separate from organic results.

8. Install commands, the CLI and third-party tools

Install commands and generated configuration are provided as published by the tool's publisher or derived from public metadata. Running them installs third-party software on your machine. You are responsible for what you install and run.

The CLI writes configuration files for the AI hosts you choose. It sends usage telemetry only if you opt in (see the Privacy Policy).

We are not responsible for third-party tools, sites or services that we link to or list. Your use of them is between you and their publisher. [LAWYER: enforceability of this exclusion for consumers in the EU, UK and India.]

9. API, MCP server and feeds

Use of the API and MCP server is subject to the API and MCP server terms, published rate limits and fair use. We may pause or revoke keys that exceed limits, scrape, or harm listed projects. Attribution is required where you show our data. [LAWYER: review /developers#terms together with this document; it still names the old URL thechalklabs.com/market and should name https://agentmart.dev.]

10. Suspension and termination

We may suspend or close an account, revoke API keys, or remove content if:

  • you break these terms or the law
  • you create risk for other users or for listed projects
  • we are required to by law

Where reasonable we will tell you why and let you respond. Security emergencies may require immediate action. [LAWYER: notice and appeal requirements, including the EU Digital Services Act statement-of-reasons duty if it applies to us.]

You may stop using the service at any time. Sections 5 (license for content already published, as limited there), 6, 7, 11, 12, 14 and 15 survive termination.

11. No warranty

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including:

  • merchantability
  • fitness for a particular purpose
  • accuracy
  • non-infringement
  • uninterrupted or error-free operation

The catalog changes every day and may be out of date or wrong. [LAWYER: consumer-law carve-outs; Indian Consumer Protection Act 2019; EU and UK statutory rights that cannot be excluded.]

12. Limitation of liability

To the extent the law allows, Chalk Labs is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data, or goodwill. This includes any harm from installing or running a listed tool.

Our total liability for any claim about the service is limited to the greater of the amounts you paid us in the 12 months before the claim, or [LAWYER: amount, e.g. USD 100].

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or, in some countries, for death or personal injury caused by negligence. [LAWYER: wording per governing law.]

If you buy a paid feature, separate terms shown at checkout also apply. These cover price, billing, refunds and taxes. Paid features never include organic rank, search position, grades or reviews. [RAHIL: no paid features exist yet; the plan has sponsored slots, affiliate links and a Vendor Pro waitlist from Day 27.]

14. Indemnity

If you use the service for a business, you will defend and indemnify Chalk Labs against third-party claims arising from your content, your misuse of the service, or your breach of these terms. [LAWYER: should this apply to consumers at all, and is it enforceable in India?]

15. Governing law and disputes

These terms are governed by the laws of [RAHIL: choose India, Delaware or another jurisdiction, with the lawyer], without regard to conflict-of-law rules. Courts in [RAHIL: city and country] have exclusive jurisdiction, except that consumers keep the right to sue in their home courts where the law gives them that right. [LAWYER: arbitration or courts; class-action waiver (US); mandatory consumer protections in the EU, UK and India.]

16. Changes to the service and these terms

We may change the service, add or remove features, or stop it. We may change these terms. For material changes we will give at least [LAWYER: 30] days' notice before they take effect. Notice goes on this page, in the changelog, and by email to account holders and API key owners. Changes needed for legal or security reasons may take effect sooner.

The version and date at the top of this page show which terms apply. If you keep using the service after a change takes effect, you accept the new terms. [LAWYER: is continued use valid acceptance for material changes?]

17. Other terms

  • If a court finds part of these terms unenforceable, the rest stays in force.
  • Not enforcing a right is not a waiver.
  • You may not transfer your rights under these terms without our consent. We may transfer ours to a successor of the service with notice.
  • These terms, with the documents in section 1, are the whole agreement about the service. [LAWYER: boilerplate review.]

18. Contact

Questions about these terms: [RAHIL: legal contact email]. Postal address: [RAHIL: postal address].
